Terms and Conditions of Sale and Trading

1. Acceptance of Orders / Instructions
We will only accept orders or instructions from the customer under these Terms and Conditions of Sale and Trading. The customer will be deemed to have accepted these terms upon signing, written confirmation, submission of a purchase order, or payment of an invoice.
2. Quotations
- Ambient Media 360 Ltd will not be bound by any estimate or price quoted verbally.
- Formal quotations will be provided on receipt of final drawings or approved artwork.
- Quotations are valid for 30 days.
- Site visits will be charged at a minimum rate of £55 per hour unless otherwise agreed.
3. Artwork & Visuals
- A minimum artwork fee of £55 applies to all customer requests.
- Amendments or alterations will incur additional costs.
- A PDF proof will be issued for approval prior to production. The customer is responsible for ensuring artwork is correct. Ambient Media 360 Ltd accepts no liability for errors once client approval has been given.
- Verbal instructions given prior to mutual approval of final artwork are at the customer’s own risk.
- Where artwork is supplied by the client, it must be “print ready” and to the correct scale. Please refer to our Artwork Requirements page.
4. Digitally Printed Media
- Exact colour reproduction cannot be guaranteed due to substrate limitations.
- Where the customer has not provided a colour reference, reproduction will be at our discretion.
- Manufacturers recommend a 48-hour airing period for digitally printed media to allow solvents to release. If the customer’s deadlines prevent this, Ambient Media 360 Ltd cannot be held responsible for media failure.
5. Customer’s Own Material
We accept no responsibility for issues arising from the use of customer-supplied material.
6. Sign Erecting
All signs supplied and fitted by Ambient Media 360 Ltd are covered by a 12-month warranty, provided our own fixings are used.
7. Vehicle Graphics – Installation
- Vehicles must be delivered clean, grease-free, and free of existing graphics. Cleaning and preparation will be charged at £55 per hour if required.
- Where the client supplies artwork, it is their responsibility to ensure it is print ready and correctly scaled.
- Minor variances may occur between proofs and application due to vehicle shape.
- Where Ambient Media 360 Ltd supplies artwork, the customer must check proofs against the actual vehicle, noting any variations (e.g. wheelbase, roof height, body modifications).
8. Vehicle Graphics – Removal
- Removals will be charged separately at £55 per hour.
- Ambient Media 360 Ltd accepts no liability for paint damage during removal, as the integrity of paintwork cannot be guaranteed.
9. Deliveries
All deliveries are chargeable unless otherwise agreed.
10. Complaints
- All complaints relating to defects that are visible or apparent on delivery/installation (such as spelling errors, damage, or incorrect sizing) must be made in writing within 7 days of receipt of goods or completion of works.
- Complaints relating to workmanship, installation, or issues not reasonably identifiable at the time of delivery/installation must be made in writing within 14 days of completion.
- After these periods, Ambient Media 360 Ltd cannot accept liability.
- We will endeavour to resolve all valid complaints promptly and efficiently.
11. Payment Terms
(i) Payment terms are as follows:
- 30% upfront deposit to confirm the order.
- 30% payable upon delivery of goods to site.
- 40% payable upon completion of works.
(ii) In the event of suspension or delay through no fault of Ambient Media 360 Ltd for more than 14 days, payment will be required for all work completed to date.
(iii) Late payments will incur interest at 8% per annum above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts legislation, plus applicable recovery fees.
(iv) Ambient Media 360 Ltd reserves the right to recover all costs associated with debt collection, including solicitor and agent fees.
(v) While any invoice remains unpaid for more than 7 days, Ambient Media 360 Ltd reserves the right to suspend works or withhold goods under any contract with the same customer.
(vi) Title to all goods remains with Ambient Media 360 Ltd until full payment has been received.
(vii) Any variation to these terms must be agreed in writing by Ambient Media 360 Ltd.
12. Acoustic Products & Installations
- All acoustic products (including PET panels, acoustic walls, ceiling baffles, acoustic fabrics, and curtains) are manufactured or cut to order and are therefore non-returnable.
- Performance of acoustic solutions is dependent on the site environment. Ambient Media 360 Ltd does not guarantee any specific level of acoustic reduction unless expressly stated in writing.
- Any acoustic performance data provided is based on manufacturer testing under controlled conditions and may vary in practice.
- Installation warranties are 12 months unless otherwise agreed in writing. Manufacturer warranties may apply to specific products and will be passed on where available.
13. Liability
- Ambient Media 360 Ltd shall not be liable for indirect or consequential loss caused by delays.
- We shall not be liable for paintwork failure or peeling on vehicles where the paint condition is poor or unsuitable for graphics.
- Ambient Media 360 Ltd accepts no liability for damage caused by external factors beyond our control.
14. Indemnity
The customer warrants that any work requested does not infringe copyright, patents, design rights, or defamation law, and indemnifies Ambient Media 360 Ltd against all claims, costs, and expenses arising from such infringement.
15. Force Majeure
Ambient Media 360 Ltd shall not be held liable for failure to perform obligations due to events beyond our reasonable control, including but not limited to: industrial disputes, fire, flood, acts of God, war, equipment breakdown, or supply shortages.
16. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.
